Chairman, American General Life Companies

Rodney O. Martin, Jr serves as chairman of American General Life Companies, which is the marketing name for the insurance companies and affiliates of AIG that comprise AIG’s Domestic Life Insurance Operations. He was most recently named chairman and chief executive officer of American Life Insurance Company (ALICO). Mr. Martin also is executive vice president of American International Group, Inc. (AIG), and chief operating officer of Worldwide Life Insurance.

Career Summary
Mr. Martin was elected chairman and chief executive officer of ALICO in August 2006 and chief operating officer of Worldwide Life Insurance in January 2006. Previously, he served as president and chief executive officer of American General Life Companies following AIG’s acquisition of American General Corporation in 2001. Mr. Martin continues to serve as chairman for American General Life Companies. He was elected AIG executive vice president, life insurance, in 2002.

Prior to 2001, Mr. Martin served as senior vice chairman, financial services, responsible for American General’s life insurance and consumer lending operations. He joined American General as president and chief executive officer of American General Life Insurance Company of New York in 1995.

Mr. Martin began his insurance career as an agent with Connecticut Mutual Life Insurance Company, where he served 20 years in various marketing and general management positions, including general agent, vice president of agencies, senior vice president of corporate distribution and president of Connecticut Mutual Insurance Services.

Background and Industry Service
Mr. Martin was born on June 16, 1952 in Portland, Maine. He received his bachelor’s degree in business administration from Alfred University in 1974. Mr. Martin is a Fellow, Life Underwriter Training Council (LUTCF), and he is a member of the board of directors for the American Council of Life Insurance (ACLI). Mr. Martin also serves on the board of trustees for the United Way of Texas Gulf Coast. Previously, he served on the board of the Life Insurance Marketing Research Association (LIMRA) International.

Matt Winter
President and Chief Executive Officer

Matt Winter serves as President and Chief Executive Officer of American General Life Companies. American General Life Companies is the marketing name for the insurance companies and affiliates of American International Group, Inc. (AIG), which comprise AIG’s domestic life insurance operations.

Career Summary
Mr. Winter joined American General Life Companies as President and Chief Executive Officer in 2006. Previously, he served as an Executive Vice President and a member of the Office of the CEO for MassMutual Financial Group. As head of MassMutual’s Individual Insurance Group, he had responsibility for the Individual Life, Annuity, Disability Income, Long Term Care, Large Corporate Markets and Structured Settlements Businesses; the Income Management Group; the Trust Company; the Career Agency System and the Broker Dealers.

Prior to joining MassMutual in 1996 as a result of the merger with Connecticut Mutual Life Insurance Company, Mr. Winter was Connecticut Mutual’s Chief Ethics and Corporate Compliance Officer.

Prior to 1994, Mr. Winter practiced white-collar criminal defense and complex commercial litigation as well as held various positions during his twelve-year active duty career with the U.S. Army.

Background and Industry Service
Mr. Winter was born on January 22, 1957 in Freeport, New York. A 1979 graduate of the University of Michigan with a Bachelor’s degree, he went on to earn a Juris Doctor degree from the Albany Law School of Union University and a Master of Laws degree from the University of Virginia School of Law. Mr. Winter also completed Harvard Business School’s Advanced Management Program in 2001.

Mr. Winter holds FINRA Series 7, 24 and 63 registrations. He is a trustee of the American College and a member of the Financial Services Roundtable.

Mr. Winter currently serves on the board of directors for the Houston Food Bank and the board of governors for the Houston Grand Opera Association.
