AGC Announces Transfer of Its Shares in AGC Polymer Material Co., Ltd.
AGC (AGC Inc., Headquarters: Tokyo; President: Yoshinori Hirai) hereby announces that it has entered into a share transfer agreement with Saint-Gobain K.K. (Headquarters: Tokyo; President: Gregory Lee). Under the agreement, AGC will transfer all of its shares in AGC Polymer Material Co., Ltd. (Headquarters: Tokyo; President: Shuichi Hayashi; hereinafter referred to as "APK"), a consolidated subsidiary in which AGC holds a 50.72% stake, to Saint-Gobain K.K. The transaction is expected to close in or around December 2026, subject to regulatory approvals and other closing conditions.
Under its medium-term management plan AGC plus-2026 , the AGC Group is pursuing business portfolio transformation. After careful consideration of the future growth and development of APK, whose core business is the manufacturing and sale of polyurethane waterproofing materials for buildings, AGC concluded that becoming part of Saint-Gobain K.K., which has a broad portfolio of construction materials businesses, would provide the best opportunity for APK to further enhance its future growth and development.
The financial impact of this transaction on AGC's consolidated results is expected to be minimal.
